1. Agreement to Terms

These Terms of Use create a binding agreement between you and Roam to Rome Spaces LLC regarding access to https://roamtoromespaces.com and related platforms. The company is registered in Illinois at 3623 N Ashland Ave, Chicago, IL 60613.

By accessing the Site, you confirm you have read and accept all terms. Failure to agree means you cannot use the Site. The company may modify these terms anytime, with updates noted by changing the "Last updated" date. Continued use after modifications constitutes acceptance.

The Site is not intended for distribution in jurisdictions where it would violate local law or require registration. Users accessing from other locations assume responsibility for legal compliance.

The Site does not comply with industry-specific regulations like HIPAA or FISMA. Users subject to such laws cannot use the Site. The Site cannot be used in violation of the Gramm-Leach-Bliley Act.

Age requirement: Users must be at least 18 years old.

2. Intellectual Property Rights

4. Prohibited Activities

Prohibited activities include:

  • Systematically retrieving data without written permission
  • Defrauding users or attempting to access sensitive account information
  • Circumventing security features or restricting access to Content

  • Using Site information to harass or harm others
  • Misusing support services or submitting false abuse reports
  • Using the Site in violation of applicable laws

  • Impersonating other users
  • Uploading spyware or passive collection mechanisms
  • Interfering with Site operation
  • Harassing company employees or agents
  • Bypassing Site access restrictions
  • Copying or adapting Site software (Flash, PHP, HTML, JavaScript)
  • Reverse engineering or decompiling Site software
  • Using unauthorized automated tools (spiders, robots, offline readers)
  • Using buying or purchasing agents
  • Collecting usernames/emails for unsolicited communication
  • Creating accounts through automated means or false pretenses
  • Competing with the company using the Site
  • Advertising or selling goods/services on the Site
  • Selling or transferring your profile

5. User Generated Contributions

While the Site does not typically offer user content submission, if opportunities arise, users may create and submit content including text, video, audio, photos, and other materials.

By submitting Contributions, you warrant that:

  • Your content does not infringe third-party intellectual property or moral rights
  • You own the content or possess necessary licenses and permissions
  • You have written consent from all identifiable individuals depicted
  • Content is accurate and not misleading
  • Content is not unsolicited advertising, promotional material, or spam
  • Content is not obscene, violent, harassing, libelous, or objectionable
  • Content does not ridicule, mock, disparage, intimidate, or abuse anyone
  • Content is not used for harassment or to promote violence
  • Content complies with all applicable laws and regulations
  • Content does not violate privacy or publicity rights
  • Content does not relate to child exploitation or harm minors
  • Content contains no offensive comments regarding race, origin, gender, preference, or disability
  • Content does not violate these Terms or applicable law

Violations may result in termination or suspension of Site access.

6. Contribution License

The company may access, store, process, and use information and personal data according to the Privacy Policy and your preferences.

Feedback or suggestions regarding the Site can be used and shared without compensation.

Users retain full ownership of Contributions and associated intellectual property rights. The company claims no ownership. Users are solely responsible for their Contributions and agree to release the company from any legal responsibility.

7. Submissions

Questions, comments, suggestions, ideas, feedback, or other Site-related information become the company's non-confidential property. The company owns exclusive rights including all intellectual property rights and may use submissions without restriction or compensation.

Users waive moral rights to submissions and warrant that submissions are original or properly authorized. Users agree there is no recourse against the company for any infringement or misappropriation claims.

8. Advertisers

The company permits advertisers to display advertisements in certain Site areas. Advertisers take full responsibility for ads and services/products sold through them. Advertisers warrant they possess all rights and authority to place advertisements, including intellectual property, publicity, and contractual rights.

The company simply provides advertising space and has no other advertiser relationship.

9. Site Management

The company reserves the right to:

  • Monitor the Site for Terms violations
  • Take appropriate legal action against violators, including law enforcement reporting
  • Refuse or restrict access to user Contributions
  • Remove excessive or burdensome files and content
  • Manage the Site to protect company rights and Site functionality

10. Privacy Policy

The company values data privacy and security. Users must review the Privacy Policy. By using the Site, users agree to the Privacy Policy, which is incorporated into these Terms.

The Site is hosted in the United States. Users accessing from other regions with different data protection laws agree to transfer and process their data in the US by continued use.

11. Term and Termination

These Terms remain in effect during Site use. The company reserves the right to deny Site access to any person for any reason, including Terms breach or legal violations, without notice or liability.

The company may terminate use, suspend accounts, or delete posted content at any time without warning or notice.

Terminated users cannot register new accounts under any name. The company reserves the right to pursue appropriate legal action, including civil, criminal, and injunctive remedies.

12. Modifications and Interruptions

The company may change, modify, or remove Site content anytime without notice and has no obligation to update information. The company may modify or discontinue the Site in whole or part without notice and is not liable for any resulting loss, damage, suspension, or discontinuance.

The Site availability is not guaranteed. Hardware, software, maintenance, or other issues may cause interruptions, delays, or errors. The company may modify or discontinue the Site anytime without notice. Users agree the company has no liability for inability to access or use the Site during downtime or discontinuance.

The company is not obligated to maintain, support, or supply corrections or updates for the Site.

13. Governing Law

These Terms and Site use are governed by Illinois state law applicable to agreements made and performed entirely in Illinois, without regard to conflict of law principles.

14. Dispute Resolution

Informal Negotiations

Parties agree to attempt informal negotiation for at least 30 days before initiating arbitration for any dispute relating to these Terms (except excluded disputes). Negotiation begins upon written notice.

Binding Arbitration

If informal resolution fails, disputes (except excluded ones) are resolved through exclusive binding arbitration under American Arbitration Association Commercial Arbitration Rules and, where appropriate, AAA Consumer Related Disputes Procedures (available at www.adr.org).

Arbitration fees and arbitrator compensation are governed by AAA rules and limited by AAA Consumer Rules where appropriate. Arbitration may occur in person, by documents, phone, or online. The arbitrator provides written decisions but need not give reasons unless requested. The arbitrator must follow applicable law, and awards may be challenged if law was not followed.

Unless AAA rules require otherwise, arbitration occurs in Cook County, Illinois. Parties may litigate in court to compel arbitration, stay proceedings, or confirm, modify, vacate, or enter judgment on awards.

If disputes proceed in court rather than arbitration, they must be brought in Cook County, Illinois state or federal courts. Parties consent to jurisdiction and waive personal jurisdiction and forum non conveniens defenses.

The UN Convention on Contracts for the International Sale of Goods and UCITA are excluded.

Disputes must be commenced within one year of the cause of action. If this provision is found illegal, neither party elects arbitration for that portion, and courts of competent jurisdiction in Cook County will decide the matter, with parties consenting to personal jurisdiction.

Restrictions

Arbitration is limited to disputes between the parties individually. To the maximum legal extent: (a) arbitration is not joined with other proceedings; (b) no class-action basis or class procedures exist; (c) no representative capacity disputes on behalf of the public or others exist.

Exceptions to Informal Negotiations and Arbitration

These provisions do not apply to disputes: (a) seeking to enforce, protect, or concerning validity of intellectual property rights; (b) relating to theft, piracy, privacy invasion, or unauthorized use; (c) seeking injunctive relief.

If this provision is found illegal, neither party elects arbitration for that portion, and courts of competent jurisdiction in Cook County will decide, with parties consenting to personal jurisdiction.

15. Corrections

The Site may contain typographical errors, inaccuracies, or omissions in descriptions, pricing, availability, and other information. The company reserves the right to correct errors and update Site information anytime without notice.

16. Disclaimer

The Site is provided on an "as-is" and "as-available" basis. Your Site use is at your sole risk. To the maximum legal extent, the company disclaims all express and implied warranties including merchantability, fitness for particular purpose, and non-infringement warranties.

The company makes no warranties about Site content accuracy, completeness, or linked website content accuracy. The company assumes no liability for: (1) content errors or inaccuracies; (2) personal injury or property damage from Site access or use; (3) unauthorized secure server access or personal/financial information theft; (4) transmission interruptions or cessation; (5) bugs, viruses, or malware transmitted via the Site; (6) content errors or losses from Site use.

The company does not warrant, endorse, guarantee, or assume responsibility for third-party products or services advertised on the Site, hyperlinked websites, or websites/applications featured in banner advertising. The company is not responsible for monitoring transactions between users and third-party providers. Exercise judgment and appropriate caution when making purchases.

17. Limitations of Liability

The company, directors, employees, and agents are not liable to you or third parties for direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, revenue, or data from Site use, even if advised of such possibility.

Regardless of cause or action form, company liability is limited to amounts paid by you to the company during the six months before the cause of action arose.

Some US state and international laws prohibit limiting implied warranties or excluding/limiting certain damages. If applicable, some disclaimers or limitations may not apply, and you may have additional rights.

18. Indemnification

You agree to defend, indemnify, and hold the company, subsidiaries, affiliates, officers, agents, partners, and employees harmless from any third-party loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) Site use; (2) Terms breach; (3) breach of representations/warranties; (4) violation of third-party rights including intellectual property; (5) harmful acts toward other Site users.

The company reserves the right to assume exclusive defense and control at your expense, and you agree to cooperate with defense costs. The company will use reasonable efforts to notify you of applicable claims, actions, or proceedings.

19. User Data

The company maintains data you transmit for Site performance management and usage tracking. Although regular backups occur, you are solely responsible for transmitted data and activity-related data. You agree the company has no liability for data loss or corruption, and you waive all related legal action rights.

20. Electronic Communications, Transactions, and Signatures

Visiting the Site, sending emails, and completing online forms constitute electronic communications. You consent to electronic communications and agree that all agreements, notices, disclosures, and communications provided electronically satisfy written communication requirements.

You agree to electronic signatures, contracts, orders, records, and electronic notice and policy delivery. You waive rights or requirements under statutes, regulations, ordinances, or laws requiring original signatures, non-electronic record retention, or non-electronic payment methods.

22. Miscellaneous

These Terms, Site policies, and operating rules constitute the complete agreement between you and the company. Company failure to enforce any right does not constitute a waiver. These Terms operate to the maximum legal extent. The company may assign rights and obligations anytime. The company is not liable for losses caused by circumstances beyond reasonable control.

If any provision is determined unlawful or unenforceable, that provision is severable and does not affect remaining provisions. No joint venture, partnership, employment, or agency relationship exists. These Terms are not construed against the company for drafting them. You waive defenses based on electronic form and lack of party signatures.
